Terms of Service

These Terms of Service ("Terms") govern your use of the website byeq.net and the services and products provided by BY EQ ("BY EQ", "we", "us", or "our"), including our software design and development services and our communication products such as LastRing. By using our website or services, you agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business.

BY EQ provides software design, development, and related services, including web, mobile, and desktop application development, and operates communication products, including LastRing, an AI-powered call answering and text messaging service that responds to calls and text messages on behalf of the businesses that use it. Specific engagements may be governed by a separate written agreement, which controls in the event of a conflict with these Terms.

You agree not to misuse our website or services. Among other things, you must not use them to violate any applicable law or regulation, infringe the rights of others, transmit malware or harmful code, attempt to gain unauthorized access to our systems or data, or interfere with the operation or security of the services.

These Text Messaging Terms apply to text messages (SMS/MMS) sent through our services, including messages sent through LastRing on behalf of a business.

1. Program description. Messages sent through LastRing on behalf of a business include: replies to unanswered calls, appointment confirmations and reminders, responses to inbound customer text messages, and — where the business has separately obtained consent — promotional or reactivation messages.
2. Consent. By calling or texting a business's number, or by providing your phone number to that business, you agree to receive related text messages from that business. Consent to receive text messages is not a condition of any purchase.
3. Message frequency. Message frequency varies.
4. Rates. Message and data rates may apply.
5. Opt-out and help. You can opt out at any time by replying STOP to any message. Reply HELP for help, or contact us at contact@byeq.net. Carriers are not liable for delayed or undelivered messages.
6. Business obligations. Each business using our services is the sender of record for the messages sent on its behalf. The business warrants that it has lawful consent for every phone number it contacts, must not upload purchased or rented contact lists, must honor opt-out requests, and indemnifies BY EQ for its own violations of these obligations or of applicable law. Promotional and reactivation campaigns require prior express written consent obtained by the business.
7. Prohibited content. The messaging services may not be used for SHAFT content (sex, hate, alcohol, firearms, or tobacco), cannabis, loans or debt collection, gambling, or for emergency or crisis-line use.

The website, our products, and all associated content, features, and functionality are owned by BY EQ or its licensors and are protected by intellectual property laws. Ownership of deliverables produced under a client engagement is governed by the applicable written agreement for that engagement. You may not copy, modify, distribute, or create derivative works from our website or products except as expressly permitted.

Fees for services and products are set out in the applicable proposal, order, or written agreement. Unless otherwise agreed, fees are due as invoiced, are stated exclusive of applicable taxes, and are non-refundable once the corresponding services have been performed. We may suspend services for accounts with overdue balances after reasonable notice.

Except as expressly stated in a written agreement, our website, services, and products are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that every message will be delivered; message delivery is subject to carrier networks outside our control.

To the maximum extent permitted by law, BY EQ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to your use of the website, services, or products. To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to these Terms will not exceed the amounts paid by you to BY EQ for the service giving rise to the claim in the twelve months preceding the claim.

You agree to indemnify and hold harmless BY EQ and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the services in violation of these Terms or applicable law, including, for businesses using our messaging services, any claim arising from contacting a phone number without lawful consent or failing to honor an opt-out request.

We may suspend or terminate access to the services for material breach of these Terms, including violations of the Text Messaging Terms or Acceptable Use section, with notice where practicable. Businesses may terminate as set out in their written agreement. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — survive.

These Terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to its conflict of laws principles, except where a separate written agreement between you and BY EQ specifies otherwise. Any disputes will be resolved in the competent courts of Amman, Jordan, unless otherwise agreed in writing.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the website or services after changes take effect constitutes acceptance of the updated Terms.
